Trucabin Connect Uganda Limited
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between **Trucabin Connect Uganda Limited** ("Trucabin Connect", "we", "us" or "our") and the Client ("you").
By accessing our website at www.trucabin.net, requesting a demo, or entering into a Service Agreement, you agree to these Terms in full.
3. Services & Itiner Digital Platform
Trucabin Connect acts as the **exclusive implementation partner** for the Itiner Digital Platform in Uganda. The platform is owned by **Care All Ltd. (Hungary)**.
Service Delivery
We provide both SaaS (Cloud) and On-Premise implementation options. On-Premise deployments require the Client to maintain hardware and network environments meeting our minimum technical specifications.
6. Intellectual Property
6.1 Core Platform: Care All Ltd. retains all rights, title, and interest in the Itiner Digital Platform.
6.2 Custom Configurations: Upon full payment of fees, Trucabin Connect grants the Client a perpetual, non-exclusive licence to use custom workflows, templates, and configurations developed specifically for them.
6.3 Client Data: The Client retains absolute ownership of all data uploaded to the platform. We hold no rights to Client data except as required to deliver the services.
10. Limitation of Liability
TRUCABIN CONNECT'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY THE CLIENT TO TRUCABIN CONNECT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
WE SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.
18. General Provisions
18.1 Relationship: We are independent contractors. No agency or partnership exists.
18.2 Publicity: Unless otherwise agreed in writing, Trucabin Connect may use the Client's name and logo in marketing materials and on its website to identify the Client as a customer.
18.3 Electronic Signatures: All Service Agreements may be executed via digital signature in accordance with Uganda's Electronic Transactions Act.
